When you purchase products from us using the website, your purchase is subject to separate policies set forth in this Section. Certain additional terms and conditions may apply to purchases of products and other uses of portions of the Site.

Restrictions.

You may only purchase or order products for personal, non-commercial and legal purposes. No other uses are permitted.

Order.

To place an order through the website, you may either register and create an online account, or place an order as a guest without creating an online account by selecting the “Guest Checkout” option. Where you place an order as a guest, we may still create an account on our internal systems to record your purchase(s).

Before submitting an order for the purchase of products using this website, you will be shown an order confirmation screen (the “Order Confirmation”) describing, among other things, the product(s) to be ordered, the purchase price and any applicable charges for shipping and taxes. When you submit your order (by pressing the “Submit Order” button), such order will constitute an offer from you to NAYAN to purchase the product(s) described in the Order Confirmation, for the price and subject to the other charges, terms and conditions set out in the Order Confirmation. Orders are not binding on NAYAN until accepted by NAYAN. NAYAN’s acceptance of your order is evidenced by return e-mail from NAYAN indicating that your order has been accepted.

Cancellation.

NAYAN reserves the right, in its discretion, to limit quantities, terminate accounts and to refuse or cancel any order, including after the order has been submitted, whether or not the order has been confirmed and your credit card charged. In the event that your order is cancelled after your payment has been processed, NAYAN will issue a full refund.

Price.

All prices quoted are payable in U.S. Dollars. Although NAYAN strives to provide accurate product and pricing information, errors may occur. NAYAN reserves the right to correct any errors in pricing or product information and to modify the prices of products, at any time, without prior notice. NAYAN eventually cannot confirm the price of a Product until after you submit an order for the product. Without limiting the generality of the foregoing, in the event that the price or related information for a product (as described on the Site and/or the Order Confirmation) is incorrect due to an error in pricing or product information, NAYAN may, at its sole discretion, refuse or cancel your order, whether before or after NAYAN’s acceptance thereof. If there is such an error in pricing, NAYAN will cancel your order and reverse any charges that have been applied, then contact you to ask you to place a new order for the product at the correct price.

Payment.

We accept the payment methods identified in the order process via the Sales Channels. Payment processed via Stripe (PCI DSS compliant). We reserve the right to cancel orders suspected of fraud. Sales tax applied where required by Wyoming law. When ordering, you will need to provide your payment details through the appropriate Sales Channels. Depending on the means of payment, we may require additional information, including specific forms of identification. All payment card holders are subject to validation check and authorization by the card issuer. If your payment card issuer refuses to authorize payment to us, you will need to contact your card issuer directly to solve this problem.

Other payment methods may also be subject to validation checks and authorization by the payment system providers. You expressly authorize us to perform security checks, where we deem necessary, to transmit or to obtain information (including any updated information) about you to or from third parties, including but not limited to your payment card details, to authenticate your identity, validate your payment card, obtain an initial payment card authorization, and authorize individual purchase transactions.

Depending on your payment method, type, and nature of your purchase, your account may be immediately debited during the checkout process or a hold may be placed on your account for a period of time or until the product is shipped. Please contact the Sales Channels or your payment card provider for more details.

Where we offer a financing option and you choose to use it to pay for your order, the payment and finance option will be subject to both these Conditions of Sale and the applicable terms and conditions of our finance provider, who is disclosed before or during the checkout process. You will have the opportunity to acknowledge and agree to the finance provider’s terms and conditions before confirming the finance option as your method of payment. Note that any selected product(s) and/or service(s) will be held for a limited period of time to permit you to complete the financing process and will be released if you fail to complete the purchase within the time limits.

Where we offer you the ability to prepay for your products, either in full or as a partial prepayment, the prepayment will be taken immediately following the placement of your order and subject to the specific requirements communicated by the applicable Sales Channels during the prepayment process. Prepayments (in whole or in part) are non-refundable; however, prepayments shall not impact your legal rights under these Conditions of Sale.

When using the Sales Channels, we accept credit cards and bank wire transfer, and such orders are subject to an order approval process. We do not charge a fee for bank wire transfers; however, some financial institutions may charge a fee for using a bank wire transfer. Your order will not be processed until the payment has been received and confirmed by us, and will be cancelled if the wire transfer payment is not credited into our bank account within [seven (7) days] after the order is placed.

NAYAN is prohibited under U.S. law from making sales of its goods to individuals or companies designated on the Office of Foreign Assets Controls (“OFAC”) Specially Designated Nationals (“SDN”) List, or to country destinations sanctioned by the U.S. Any such transactions will be declined.

Product availability.

The availability of certain products may be limited, and products may not be available for immediate delivery. NAYAN may revise or cease to make available any products at any time without prior notice. In the event that NAYAN is unable to deliver you a Product ordered due to lack of availability, NAYAN will notify you via e-mail and your order will be automatically cancelled with respect to such unavailable product, provided that NAYAN may, in its sole discretion, contact you in order to allow you to maintain your order subject to a revised delivery time if and when the product becomes available.

Personalized Services.

Personalization (for example engraving) or other services may be available on a selection of products. If you wish to have your product personalized, please provide the details in the Sales Channels as requested. We reserve the right to withhold or refuse acceptance of any order for personalized products, or with a message card, that contains language that is objectionable, unlawful or contrary to our policies. You are responsible for ensuring that any wording you provide for personalizing products is correct. In addition, orders for personalized products cannot be cancelled and such products that have been personalized in any way or otherwise made to your bespoke specifications cannot be returned to us for exchange or refund (except where defective), and are considered final upon receipt of a written Acknowledgement of Order, as described in these Conditions of Sale. This does not affect your consumer rights (please see the Manufacturer’s guarantee and your legal consumer rights section for further information).

Shipping / Taxes.

NAYAN will arrange for the shipping of the product(s) ordered by you according to the delivery method you have chosen and to the address indicated in the Order Confirmation. Delivery times provided by NAYAN are estimates only. Unless otherwise stated, all prices quoted do not include shipping and handling charges and, where applicable, federal and state sales taxes. The applicable taxes and shipping charges will be shown separately on the Order Confirmation. You are responsible for all sales, use, goods and services, harmonized sales, and other taxes and duties associated with the order. Tax charges are calculated on the basis of the shipping and/or delivery address associated with your order. Where required, sales tax will also be applied to the shipping and handling charges. If you return an item for a refund, you will also receive a refund for the sales taxes you paid for the Product. You will not, however, receive a refund for the sales taxes you paid on the shipping and handling of the item, as the shipping and handling charges are non-refundable once an item has been shipped.

Ownership; Risk of Loss.

All product(s) purchased from NAYAN are delivered to you by a third party delivery company, pursuant to a shipping contract. The risk of loss and title for each item purchased by you, pass to you upon our delivery of the item to the delivery company. Since the actual delivery of your order can be impacted by many events beyond our control once it leaves our facilities, NAYAN cannot be held liable for late deliveries. NAYAN will, however, work with you to ensure a smooth delivery. For returns, we do not take title to any such product(s) until it arrives at our distribution center. At our discretion, a refund may be issued without requiring a return of the product(s) and, in that event, we do not take title to the refunded product(s).

Acknowledgement of Order.

Once your order has been placed through the Sales Channels, you will receive a written Acknowledgement of Order (by e-mail or otherwise confirming the details of your order together with an order reference number). Please make sure that you save this order reference number for any future enquiries regarding your order. Except for personalized products as outlined above, this Acknowledgement of Order is not an acceptance of your order. To confirm the order, we will conduct our usual credit, anti-fraud, security and related legal checks and, if acceptable, will then process your order. Upon receipt of the Acknowledgement of Order, it is your responsibility to review it and confirm that it accurately reflects your intended order. If you have any questions or concerns or if the Acknowledgement of Order does not reflect your intentions, you should contact us.

Confirmation of Order & Shipment

Upon shipment of your order, we will send you a Confirmation of Order & Shipment in writing (by e-mail or otherwise). This Confirmation of Order & Shipment constitutes our acceptance of your order and indicates the existence of a binding sales contract, except for personalized products, where our Acknowledgement of Order constitutes our acceptance of your order and indicates the existence of a binding sales contract. No agreement for purchase is complete until we send you a Confirmation of Order & Shipment.

Returns.

All product returns are subject to the Return Policy, the terms of which are incorporated herein by reference. Some restrictions may apply.
